Terms of Service

These Terms of Service govern access to Uchiha-AI, a business software service operated by Uchiha Itachi LTD. A customer order form or other written agreement may include additional commercial terms. If there is a conflict, the signed written agreement controls for that customer.

Eligibility and accounts

Uchiha-AI is intended for lawful business use by persons authorized to act for their organizations. Customers are responsible for accurate account information, account credentials, authorized users, and activity conducted through their accounts.

Service

Uchiha-AI provides tools for configuring AI assistants, organizing approved business knowledge, automating repeatable workflows, and reviewing platform activity. Specific features and usage limits are stated in the applicable order form.

Fees and billing

Subscription fees, billing frequency, renewal terms, taxes, and usage limits are disclosed before purchase and stated in the applicable order form. Customers authorize the agreed payment method to be charged according to those terms.

Acceptable use

Customers may not use Uchiha-AI for unlawful, fraudulent, deceptive, infringing, abusive, or harmful activity; to violate another person's rights; to distribute malicious software; to bypass security controls; or to make automated decisions where human review is legally required. Customers must have appropriate rights to information submitted to the service.

AI outputs

AI-generated outputs may be incomplete or inaccurate. Customers must review outputs before relying on them and remain responsible for decisions, communications, and actions taken using the service. Uchiha-AI is not a substitute for legal, medical, financial, or other licensed professional advice.

Customer content

Customers retain their rights in content they submit. Customers grant us the limited rights necessary to host, process, secure, and transmit that content to provide the service.

Intellectual property

Uchiha Itachi LTD and its licensors retain rights in Uchiha-AI, including software, design, documentation, and branding. No rights are granted except the limited right to use the service during an active subscription.

Suspension and termination

We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, or conduct that threatens the service or others. Customers may cancel renewal as described in their order form and the Cancellation & Refund Policy.

Disclaimers and liability

To the extent permitted by law, the service is provided "as is" and "as available." We disclaim implied warranties and are not liable for indirect, incidental, special, consequential, or punitive damages. Any additional limitations stated in a customer agreement also apply.

Governing law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Venue for disputes will lie in the state or federal courts located in Colorado, unless applicable law requires otherwise.
